Terms of Use

These Terms of Use ("Terms") are an agreement between you and Saif Khamis, doing business as Palio ("Palio," "we," "us," or "our"). They govern your use of the Palio mobile application and related services (the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

1. Eligibility and accounts

You must be at least 13 years old and legally able to agree to these Terms. If local law requires a higher minimum age or parental authorization, that requirement applies. You must provide accurate information, protect your login credentials, and promptly notify us of suspected unauthorized account access. You are responsible for activity occurring through your account.

2. Palio is not medical care

Palio is a tracking and educational tool, not a medical device or healthcare provider. It does not diagnose conditions, prescribe treatment, determine readiness to return to sport, or replace your physician, surgeon, physiotherapist, or other qualified professional.

Workout calculations, symmetry values, projections, summaries, and other information may be incomplete, delayed, or inaccurate and must not be your sole basis for medical or training decisions. Illustrated exercise guides explain common movements; they do not establish which exercise, dose or progression is appropriate for you. Follow your surgical restrictions and clinician’s rehabilitation plan. Custom exercises use the instructions you provide and do not receive an automatically invented guide. If you do not have a physiotherapist, ask your surgical team about your plan and restrictions. Stop an activity that causes concerning symptoms and seek appropriate care. Seek prompt professional care for concerning symptoms or emergencies.

Home measurements and photos

Phone-sensor and photo-landmark angles are estimates affected by setup, placement and movement. They have not been clinically validated as medical measurements and must not be used to diagnose a condition, change surgical restrictions or decide readiness for activity. Manual readings may be entered from a clinician or another source; Palio does not verify that source. Comparing the same method and position may help organize your logs but does not establish clinical accuracy.

A progress-photo journal lets you organize and compare your own images. It does not diagnose healing, swelling, infection or injury. Journal photos stay on the device where you save them; do not rely on Palio as your only photo backup.

3. AI features

With your permission, some Services send your messages and relevant recovery records to Anthropic, including Ask Palio and AI-generated recovery summaries. You can customize response style and withdraw future AI sharing in Settings. Photos are not sent to AI; attached written dates and notes may be shared. See the Privacy Policy for processing and retention. AI output is generated automatically, may contain errors, and is provided only for general informational purposes. It is not individualized medical advice, diagnosis, treatment, or an instruction to begin, stop, or modify an exercise program.

Do not submit information about another person without authorization. You remain responsible for evaluating AI output and consulting qualified professionals before acting on recovery-related information.

You may use the Services only lawfully and for personal recovery tracking. You must not:

You retain ownership of information and content you submit. You grant Palio a limited, worldwide licence to host, copy, process, transmit, and display that content only as reasonably necessary to operate, secure and support the Services and provide features you request. This does not grant a right to sell your health records or use them for advertising or AI model training. This licence ends when the content is deleted, except for lawful retention, security records, and backup expiration.

You represent that you have the rights and permissions needed to submit your content.

6. Palio Pro and purchases

Available Palio Pro options may include monthly or annual auto-renewing subscriptions and a one-time, non-consumable lifetime purchase. The options, features, duration and price shown in the app and Apple’s purchase confirmation apply to your purchase. Prices and availability can vary by storefront. Apple handles payment, taxes and refund requests; RevenueCat helps verify purchases and restore access.

Monthly and annual subscriptions renew automatically unless you cancel through your Apple account subscription settings at least 24 hours before the current period ends. Apple may charge for renewal within the 24 hours before that period ends. Manage or cancel subscriptions in your Apple account settings. Cancelling stops future renewals; access generally continues to the end of the paid period. Deleting Palio or your Palio account does not cancel an Apple subscription. Use Restore Purchases in the app when applicable; restoration depends on the purchasing Apple account and Apple’s rules.

Lifetime access is a one-time purchase and does not renew automatically. “Lifetime” means the operational lifetime of Palio and your compliant account, not a promise that every feature, platform or third-party service will be available forever. We will not turn a completed lifetime purchase into an automatically renewing subscription without a separate, explicit purchase.

Palio may offer an app-managed seven-day Pro trial. It does not automatically charge you when it ends; continuing paid access requires an explicit purchase. Any separately offered App Store introductory promotion follows the conditions on Apple’s confirmation screen. Usage limits for AI features may apply even with Pro access.

7. Third-party services

The Services depend on third parties such as Apple, Supabase, Anthropic, RevenueCat, Google, Resend, and Cloudflare. Their terms and availability may also apply. We are not responsible for third-party services outside our reasonable control.

8. Intellectual property

Except for your content, Palio and its software, interface, designs, branding, text, and other materials are owned by us or our licensors and are protected by applicable intellectual-property laws. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services.

9. Availability, changes, and termination

We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may maintain, update, suspend, or discontinue parts of the Services when reasonably necessary. We may restrict or terminate access for material or repeated violations of these Terms, unlawful activity, security threats, or nonpayment.

You may stop using Palio at any time and delete your account under More → Settings → Delete Account.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, Palio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits or data, personal training decisions, or reliance on calculations or AI output. Palio's aggregate liability arising from the Services will not exceed the greater of the amount you paid to Palio during the preceding twelve months or CAD $100. These limits do not apply where prohibited by law.

12. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Toronto, Ontario will have jurisdiction, except where consumer law gives you the right to bring a claim elsewhere.

13. Apple terms

If you downloaded Palio from Apple's App Store, these Terms are between you and Palio, not Apple. Apple has no obligation to provide maintenance or support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions. Your use must also comply with the App Store Usage Rules. Apple’s standard Licensed Application End User License Agreement applies to the licensed app unless a valid custom EULA is provided in the App Store listing. These Terms describe Palio’s services and do not restrict any non-waivable consumer rights or Apple’s mandatory terms.

14. Changes and contact

We may update these Terms to reflect changes to the Services or law. We will update the date above and provide additional notice when legally required. If you do not agree to revised Terms, stop using the Services and delete your account.
