Terms of Use

These Terms of Use ("Terms") are an agreement between you and Saif Khamis, doing business as Palio ("Palio," "we," "us," or "our"). They govern your use of the Palio mobile application and related services (the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.
1. Eligibility and accounts
You must be at least 13 years old and legally able to agree to these Terms. If local law requires a higher minimum age or parental authorization, that requirement applies. You must provide accurate information, protect your login credentials, and promptly notify us of suspected unauthorized account access. You are responsible for activity occurring through your account.
2. Palio is not medical care
Palio is a tracking and educational tool, not a medical device or healthcare provider. It does not diagnose conditions, prescribe treatment, determine readiness to return to sport, or replace your physician, surgeon, physiotherapist, or other qualified professional.
Workout calculations, symmetry values, projections, summaries, and other information may be incomplete, delayed, or inaccurate and must not be your sole basis for medical or training decisions. Follow your clinician's rehabilitation plan. Seek prompt professional care for concerning symptoms or emergencies.
3. AI features
Some Services use artificial intelligence, including Ask Palio and AI-generated recovery summaries. AI output is generated automatically, may contain errors, and is provided only for general informational purposes. It is not individualized medical advice, diagnosis, treatment, or an instruction to begin, stop, or modify an exercise program.
Do not submit information about another person without authorization. You remain responsible for evaluating AI output and consulting qualified professionals before acting on recovery-related information.
4. Acceptable use
You may use the Services only lawfully and for personal recovery tracking. You must not:
- access another person's account or submit their sensitive information without authorization;
- use the Services for emergencies, diagnosis, treatment, or unlawful medical practice;
- reverse engineer, disrupt, overload, scrape, or bypass security or usage limits;
- upload malicious, unlawful, infringing, or abusive content;
- misrepresent AI output as professional medical advice; or
- use the Services in a way that harms Palio, users, providers, or third parties.
5. Your content
You retain ownership of information and content you submit. You grant Palio a limited, worldwide licence to host, copy, process, transmit, and display that content only as reasonably necessary to operate, secure, support, and improve the Services and provide features you request. This licence ends when the content is deleted, except for lawful retention, security records, and backup expiration.
You represent that you have the rights and permissions needed to submit your content.
6. Palio Pro and purchases
Palio Pro is offered as a one-time, non-consumable in-app purchase providing access to the Pro features described in the app at the time of purchase. The price and currency displayed by Apple's purchase confirmation sheet are authoritative for your storefront. Apple processes payment, taxes, refunds, and purchase restoration under its applicable terms and policies.
“Lifetime” means access for the operational lifetime of the Palio product and your compliant account; it does not guarantee that every current feature, third-party service, or platform will remain available forever. We may modify features to maintain, secure, or improve the Services, but we will not convert your completed one-time Palio Pro purchase into an automatically renewing subscription without a new, explicit purchase.
Free trials, where offered by Palio, provide temporary access under the conditions shown in the app. Palio's current one-time purchase does not automatically renew.
7. Third-party services
The Services depend on third parties such as Apple, Supabase, Anthropic, RevenueCat, Google, Resend, and Cloudflare. Their terms and availability may also apply. We are not responsible for third-party services outside our reasonable control.
8. Intellectual property
Except for your content, Palio and its software, interface, designs, branding, text, and other materials are owned by us or our licensors and are protected by applicable intellectual-property laws. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services.
9. Availability, changes, and termination
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may maintain, update, suspend, or discontinue parts of the Services when reasonably necessary. We may restrict or terminate access for material or repeated violations of these Terms, unlawful activity, security threats, or nonpayment.
You may stop using Palio at any time and delete your account under More → Settings → Delete Account.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Palio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits or data, personal training decisions, or reliance on calculations or AI output. Palio's aggregate liability arising from the Services will not exceed the greater of the amount you paid to Palio during the preceding twelve months or CAD $100. These limits do not apply where prohibited by law.
12. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Toronto, Ontario will have jurisdiction, except where consumer law gives you the right to bring a claim elsewhere.
13. Apple terms
If you downloaded Palio from Apple's App Store, these Terms are between you and Palio, not Apple. Apple has no obligation to provide maintenance or support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions. Your use must also comply with the App Store Usage Rules. Where Apple's standard Licensed Application End User License Agreement provides mandatory or additional terms, those terms also apply.
14. Changes and contact
We may update these Terms to reflect changes to the Services or law. We will update the date above and provide additional notice when legally required. If you do not agree to revised Terms, stop using the Services and delete your account.
